Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your use of the website horizonlux.com and services provided by HorizonLux SUARL ("HorizonLux", "we", "us", or "our"), a company registered in Tunisia, located at 46 Av Habib Bourguiba, Kelibia, Nabeul, Tunisia.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you disagree with any part, please discontinue use immediately.

2. Services

HorizonLux provides professional web development, software engineering, UI/UX design, DevOps, cloud infrastructure, and AI solutions services. Our services are provided on a project basis as outlined in individual service agreements, proposals, or statements of work ("SOW") agreed upon with each client.

3. Service Agreements

For all project engagements:

  • A separate SOW or contract will detail specific deliverables, timelines, and pricing
  • These Terms apply in addition to any project-specific agreements
  • In case of conflict, the project-specific agreement takes precedence

4. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate and complete information required for project delivery
  • Respond to communications and provide feedback within agreed timeframes
  • Ensure you have rights to any materials (content, images, data) you provide
  • Make payments according to agreed schedules

5. Intellectual Property

Our Work: Upon full payment, clients receive ownership of custom code, designs, and deliverables created specifically for their project, unless otherwise specified in the SOW.

Our Tools & Methods: HorizonLux retains ownership of pre-existing tools, frameworks, libraries, and methodologies used in project delivery. We may reuse general techniques and non-confidential learnings across projects.

Third-Party Components: Open-source libraries and third-party tools remain subject to their respective licenses.

6. Payment Terms

  • Payment terms are specified in each project proposal or SOW
  • Invoices are due within the period specified (typically 14-30 days)
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to pause work on overdue accounts

7. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information to third parties except as necessary to deliver services (e.g., to subcontractors bound by confidentiality) or as required by law.

8. Limitation of Liability

To the maximum extent permitted by Tunisian law:

  • HorizonLux's total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for delays or failures caused by circumstances beyond our reasonable control

9. Warranties and Disclaimers

We warrant that services will be performed professionally and in accordance with industry standards. We do not warrant that deliverables will be error-free or that websites/applications will have uninterrupted availability.

Our website content is provided "as is" for informational purposes. We make no warranties regarding completeness or accuracy of website information.

10. Termination

Either party may terminate a service engagement as specified in the applicable SOW. Upon termination:

  • Client pays for all work completed to date
  • We deliver all completed work product upon payment
  • Confidentiality obligations survive termination

11. Website Use

When using our website, you agree not to:

  • Attempt to gain unauthorized access to our systems
  • Use automated tools to scrape or collect data
  • Transmit malicious code or interfere with website operation
  • Use the website for any unlawful purpose

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Tunisia. Any disputes shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the competent courts of Nabeul, Tunisia.

13. Changes to Terms

We may modify these Terms at any time. Changes take effect upon posting to this page. Continued use of our website or services after changes constitutes acceptance.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
